WELCOME

Welcome to your coaching program with The Life Coaching Co, weโ€™re delighted to have the opportunity to serve you! The following Terms and Conditions detail the coaching service we deliver as well as both our obligations, with the aim of providing transparency for our coaching relationship ahead. We look forward to partnering with you.

PARTIES

These Terms and Conditions are between:

You (The Client)

and: The Life Coaching Co Pty Ltd as trustee for the Coastcorp Holdings Trust trading as The Life Coaching Co (A.B.N. 56 225 541 234) of PO Box 96, Miami, QLD, 4220 (The Life Coaching Co).

BACKGROUND

A.      The Client wishes to receive life coaching services that are specifically tailored for the Clientโ€™s circumstances.

B.      The Life Coaching Co has the skills, background and experience in providing life coaching services.

C.      The Life Coaching Co is willing to provide the Services and the Client is willing to appoint The Life Coaching Co to provide the Services, all in accordance with the provisions of these Terms and Conditions.

1      Services

(a)    In consideration for the Client paying the Fee to The Life Coaching Co, The Life Coaching Co will provide the Services as set out in paragraph 3.1(d) below.

(b)    The Services will be performed by The Life Coaching Co and/or any of its Personnel, who The Life Coaching Co may choose as most appropriate to carry out the Services, from time to time.

2    Time and place

(a)    The coaching session Calls will be held at the arranged Call Time, or as otherwise varied by the Parties, from time to time.

(b)    The Life Coaching Co will provide the Services via Zoom, Skype, FaceTime or Telephone, or any other means as may be agreed between the Client and The Life Coaching Co.

(c)    The Client will provide The Life Coaching Co with 24 hoursโ€™ notice for any cancellations or rescheduling of coaching Calls.

(d)    The Client acknowledges and agrees that:

(i)    if the Client is more than ten (10) minutes late for any scheduled Call, or

(ii)    if the Client communicates in a disrespectful manner with The Life Coaching Co and/or its Personnel, then The Life Coaching Co may cancel or terminate, as applicable, that Call, without re-scheduling any future appointment.

(e)    The Client acknowledges and agrees that The Life Coaching Co will respond to communications sent by the Client, in accordance with this agreement, within two (2) business days.

3      Fee

3.1    Payment of Fee

(a)    In consideration of the provision of the Services in accordance with these Terms and Conditions, the Client will pay the Fee to The Life Coaching Co, in accordance with the Payment Terms.

(b)    The Client must pay the Fee to The Life Coaching Co via credit card, debit card or direct transfer.

(c)   The Fee is in Australian Dollars (AUD) and includes GST for Australian residents only.

(d)    The following schedule provides Service and Fee details:

Commencement Date

Determined in conjunction with your coach at The Life Coaching Co.

Call Time

To occur at a mutually convenient time, on the same day of the week at the same time (unless otherwise arranged), for a total of 8 sessions of up to 55mins per session.

Fee

$1999 (inclusive GST) up front โ€“ with the option of 2 instalment payments, as per 3.2(b)

Service description

Coaching calls (weekly or fortnightly, as arranged with your coach), worksheets delivered electronically and/or pre-recorded program material (as required).

3.2    Invoicing

(a)    The Life Coaching Co will provide the Client with a tax invoice/receipt in relation to the Fee.

(b)    Payment of the Fee will be made by the Client as follows:

(i) Up front in full: $1999, prior to the commencement date, within two (2) days after receiving any Tax Invoice, digital or tele-payment link; or

(ii) Two Instalments. The two instalments are charged as follows: $999.50 in full prior to the commencement date, within two (2) days after receiving any Tax Invoice, digital or tele-payment link. The remaining balance of $999.50 is due at the half way point of the program - either 30 days later if coaching weekly, or 60 days later if coaching fortnightly (unless agreed otherwise prior to coaching commencement).

(c)    When making a direct deposit payment, the Client must quote their full name with payment. Credit card payments are tracked digitally, so do not require the quotation of a reference.

3.3    Failure to pay

If the Client does not make a payment within two days of the invoice, digital or tele-payment link issue date, as otherwise provided for in the Terms and Conditions, The Life Coaching Co is entitled to not perform any further Services, or any part of the Services, or restrict/cancel access to any materials, digital platforms or media that are offered in the provision of the Services.

3.4    Refunds โ€“ Our Happiness Guarantee

It is important to us that you feel that you are gaining value from the Services. Therefore, we offer you our Happiness Guarantee. This means that if you feel that you are not gaining value from the Services, then you can contact us within 14 days of your coaching Commencement Date, to receive a full refund for any coaching sessions that you have paid for (including the sessions youโ€™ve attended). Any refund issued to you must be paid via the original payment method.

The Client acknowledges and agrees that The Life Coaching Co does not provide any refunds, other than via our Happiness Guarantee, unless required to do so under Australian law.

3.5    Cooling Off Period

The Client will have 48 hours from the date they verbally agree to engage The Life Coaching Coโ€™s services, to exercise their cooling off rights. Notification to terminate coaching within the cooling off period must be provided to The Life Coaching Co via email with the subject line, โ€˜Cooling Off Cancellationโ€™. Any amount paid by the Client to The Life Coaching Co will be refunded to the Client in full, to the original payment method.

4    Clientโ€™s obligations

(a)    The Client must ensure that they, at all relevant times:

(i)    communicate with The Life Coaching Co and any of its Personnel in a respectful manner;

(ii)    be punctual and co-operate with The Life Coaching Co, as The Life Coaching Co reasonably requires;

(iii)    participate in all Calls, except where prior written notice of a good reason for missing a Call has been provided to The Life Coaching Co;

(iv)    complete all tasks set by The Life Coaching Co during any Call prior to the next scheduled Call;

(v)    be in a private and appropriate location during any Call;

(vi)    not record any Call, or any other communication, with The Life Coaching Co;

(vii)    are respectful of their coachโ€™s contact hours, and endeavour to contact their coach during the hours of 7am to 7pm (AEST) Monday to Saturday, excluding public holidays, unless otherwise agreed by The Life Coaching Co;

(viii)    keep confidential, and not provide to any person other than a lawyer or relevant medical professional, any video or phone recordings, or any other information, documents or material provided by The Life Coaching Co;

(ix)    disclose details of past or present psychological or psychiatric treatment and understand that the Services are in no way to be construed as psychological counselling or any type of psychotherapy; and

(x)    contact a licensed professional if counselling or therapy is required.

5    Ownership of intellectual property

(a)   The Client acknowledges that The Life Coaching Co owns all intellectual property rights associated with the Material.

(b)   The Client must only use the Material for the purpose of participating in the Program and for no other purpose.

(c)   The Client acknowledges and agrees that the Coach may record any Call and will seek prior permission from the Client to do so.

6    Confidentiality

(a)   Each party agrees to keep the other partyโ€™s Confidential Information confidential and not deal with it in any way that might prejudice its confidentiality.

(b)   The Client and The Life Coaching Co acknowledge that information resulting from the activities of The Life Coaching Co pursuant to this agreement will also be regarded as Confidential Information. The parties agree that their obligations in paragraph 6(a) extend to this category of information.

(c)   Each party agrees to indemnify the other party fully against all liabilities, costs and expenses which that other party may incur as a result of any breach of this paragraph 6.

(d)   The obligations accepted by the parties under this paragraph 6 survive termination or expiry of this agreement.

7    Privacy

The Life Coaching Co will, at all times, collect and manage personal information relating to the Client, in accordance with our Privacy Policy.

8    Warranties, liability and indemnities

8.1    Warranties

(a)   The Life Coaching Co warrants that it will use reasonable care and skill in performing the Services to the standard generally accepted within the industry, sector or profession in which The Life Coaching Co operates, for the type of Services provided by The Life Coaching Co.

(b)   If The Life Coaching Co performs the Services (or any part of the Services) negligently or materially in breach of this agreement, then, if requested by the Client, The Life Coaching Co will re-perform the relevant part of the Services, subject to paragraphs 8.3(a) and 8.3(b) below.

(c)   The Clientโ€™s request referred to in paragraph 8.1(b) must be made within one (1) week of the date The Life Coaching Co performed the Services (or that part of the Services) that The Life Coaching Co is to re-perform.

(d)   The Client warrants that they will:

(i)   not rely on any information or advice provided by The Life Coaching Co or its Personnel; and

(ii)   seek independent advice from a qualified medical or other relevant professional, as to the suitability of any information or advice provided by The Life Coaching Co, to the Client.

8.2    No warranties in relation to outcome

(a)   The Life Coaching Co provides no warranty or guarantee that the Client will obtain or achieve any result or objective by any date, or at all, as a consequence of participation in the Program or by receiving the Services provided by The Life Coaching Co and/or its Personnel.

8.3    Limitation on liability

(a)   The liability of The Life Coaching Co under or in connection with this agreement whether arising in contract, tort, negligence, breach of statutory duty or otherwise must not exceed the Fee paid by the Client to The Life Coaching Co, under this agreement.

(b)   The Life Coaching Co is not liable to the Client in contract, tort, negligence, breach of statutory duty or otherwise for any loss, damage, costs or expenses of any nature whatsoever incurred or suffered by the Client of an indirect or consequential nature.

8.4    Indemnity

The Client must indemnify and hold The Life Coaching Co harmless from and against all Claims and Losses arising from loss, damage, liability, injury to the Client, arising out of any information supplied to the Client by The Life Coaching Co and/or its Personnel, including information comprised in the Program and Materials.

8.5    Survival of obligations

The obligations accepted by The Life Coaching Co and the Client under this paragraph 8 survive termination or expiry of this agreement.

9    Termination

(a)   The agreement will automatically terminate upon completion of the Program.

(b)   Either Party may terminate this agreement by written notice to the other, if the Party notified:

(i)   fails to observe any of the detailed Terms and Conditions of this agreement; and

(ii)   fails to rectify this breach, to the satisfaction of the notifying Party, following the expiration of 30 daysโ€™ of written notice of the breach being given by the notifying Party to the other Party.

(c)   Upon termination of this agreement any fees, expenses or reimbursements payable by the Client to The Life Coaching Co in respect of any period prior to the Termination Date, must be paid by the Client within seven (7) days after the Termination Date.

10    Law and jurisdiction

These Terms and Conditions are governed by the laws of Queensland, Australia.

11    Definitions and interpretation

11.1    Definitions

In this agreement unless the context indicates otherwise, the following words have the following meanings.

Callmeans any telephone call or communication via technological means, between The Life Coaching Co and the Client.

Call Timeis the time when any Call is scheduled to be held, as set out in the schedule to this agreement.

Claimsmeans all demands, claims, proceedings, penalties, fines and liability (whether criminal or civil, in contract, tort or otherwise).

Commencement Datehas the meaning set out in the schedule to this agreement.

Confidential Informationincludes any information received by the receiving party during the term of this agreement, which is not publicly available and relates to any staff, agents or clients of the disclosing party or any processes, equipment and techniques used in the course of business of the disclosing party. This includes all information, data, drawings, specifications, documentation, techniques, concepts not reduced to material form and agreements with third parties.

Feemeans the amount to be paid by the Client to The Life Coaching Co under this agreement, as set out in paragraph 3 of this agreement.

Lossesmeans all losses including financial losses, damages, legal costs and other expenses of any nature whatsoever.

Materialsmeans any materials that The Life Coaching Co may provide the Client with, in connection with the Program.

Partiesmeans The Life Coaching Co and the Client, and Party means either one of them.

Payment Termsmeans when and how the Fee is to be paid by the Client to The Life Coaching Co under this agreement.

Personnelmeans Veronica Jones, or any other employees or agents of The Life Coaching Co, which The Life Coaching Co may designate to perform the Services on The Life Coaching Co behalf.

Programmeans the coaching program and its related coaching sessions and contents, as provided by The Life Coaching Co.

Servicesmeans the services to be provided by The Life Coaching Co and its Personnel under this agreement.

Termmeans the duration of this agreement, beginning on the Commencement Date of coaching and ending on the Termination Date.

Termination Datemeans:

(a) upon the expiry of the Program; or

(b) the date of termination of this agreement by The Life Coaching Co or the Client, as permitted under the Terms and Conditions.

These Terms and Conditions form the foundation of the coaching agreement between The Life Coaching Co and The Client.

Upon execution by electronic delivery that Terms and Conditions have been supplied to The Client, the Parties agree that any individual or associate shall be bound by all Terms and Conditions in this agreement and shall constitute a legal and binding instrument with the same effect as an originally signed copy.

The Terms and Conditions detailed within this agreement operate in conjunction with the Life Coaching Coโ€™s website Terms of Use Policy, Privacy Policy and Cookies Policy.
